Terms of Service
The terms governing your use of the Kethra platform and the ownership of the model weights we produce for you.

These Terms of Service (the "Terms") form a binding agreement between you (or the company or organisation you represent) and Basis Research, Inc., a Delaware corporation, with principal offices at 631 Brannan Street, Suite 300, San Francisco, CA 94107, United States ("Kethra", "we", "us").
By creating an account or using the Kethra platform (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
1. The agreement
These Terms, together with any Order Form, Subscription Agreement or Data Processing Addendum entered into between you and Kethra, constitute the entire agreement between you and us in relation to the Service and supersede all prior agreements, representations and understandings.
We may update these Terms from time to time. We will give you at least 30 days' notice of a material change by email or by prominent notice in the platform. Continued use of the Service after the change takes effect constitutes acceptance of the revised Terms. See section 12 for our notification process.
2. Accounts and eligibility
You must be at least 18 years old and capable of entering into a binding contract to create an account. If you are creating an account on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must notify us promptly at support@basisresearch.tech if you suspect unauthorised access.
We reserve the right to refuse or terminate accounts at our reasonable discretion, in particular where the Acceptable Use Policy in section 8 is not met.
3. The service
Kethra provides a platform for fine-tuning, evaluating and deploying private language models (the "fitting, evaluation and deployment pipeline"). The Service comprises three principal stages:
- Fitting. We fine-tune a base model on your corpus and align it to your written standard. Where appropriate, we may distil the resulting model to smaller weights.
- Evaluation. We score each fitted model against a held-out evaluation suite derived from your own examples and standard. A version is deemed ready when it clears the bar you have set.
- Deployment. We deploy the fitted model to a private, OpenAI-compatible endpoint. You may choose to host on Kethra infrastructure or to export the weights for self-hosting.
We will use commercially reasonable endeavours to perform the Service with reasonable skill and care. We do not guarantee that a fitted model will achieve a specific level of performance; outcomes depend in part on the quality and volume of data you provide.
4. Free tier and fair use
We offer a free tier that permits a limited number of fitting runs per calendar month (the "monthly fitting limit", as published on our Pricing page and subject to change with 30 days' notice). The free tier is intended for evaluation and small-scale experimentation and is subject to fair use. We reserve the right to throttle or suspend free-tier access if usage is excessive or if it materially affects the experience of paying customers.
Model weights produced on the free tier are available for download for 30 days. After that period they may be deleted. Weights produced on a paid plan are retained in accordance with your plan terms.
5. Plans and payment
Plans
We offer three plan tiers: Studio, Atelier and Enterprise. Current pricing, fitting allowances, compute quotas and feature entitlements for each plan are published on our Pricing page. Plan terms may change with 30 days' notice to you.
Payment
Paid plans are invoiced monthly or annually in advance, depending on the billing cycle you select. All amounts are stated exclusive of sales tax. Where sales tax applies, it will be added to your invoice at the applicable rate for your jurisdiction. Payment is due immediately on invoice. We use a third-party payment processor; you authorise us to charge the payment method you provide for all sums due.
Late payment
If an invoice remains unpaid for 14 days after the due date, we may suspend your access to the Service until the outstanding balance is settled. Persistent non-payment may result in termination of your account.
Refunds
Subscription fees are non-refundable except where required by law or as expressly stated in a written agreement with us.
6. Ownership of model weights
This is the most important section of these Terms and the core commitment of the Kethra service.
Your ownership of the tailored weights
The fine-tuned model weights produced by Kethra specifically for you through the fitting process are your property. On request and on any paid plan, we will make those weights available for you to download and use as you see fit, subject only to the licence terms of the open-weight base model from which they were derived (which are provided to you on request).
Kethra platform IP
Kethra retains all intellectual property rights in its platform, tooling, fitting pipeline, evaluation framework, deployment infrastructure and shared base models. These Terms do not transfer to you any rights in Kethra's platform IP.
Your licence to us for training data
You grant Kethra a limited, non-exclusive, non-transferable licence to your training data, evaluation examples and written standard solely for the purpose of fitting, evaluating and supporting your private model. This licence terminates when we have completed the fitting process and any related support obligations. We will then delete your training data within 30 days unless you instruct us to delete it sooner or to retain it for future refitting.
Data isolation
Your training data is not used to update or train our shared base models, and is not used to train or improve any other customer's model. This isolation is a contractual obligation and is enforced at the infrastructure level.
7. Acceptable use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Upload or use training data that infringes any third-party intellectual property right, or that you do not have the right to use for model training.
- Use the Service to create models intended to generate spam, disinformation, non-consensual synthetic media, or content that is illegal in your jurisdiction.
- Attempt to circumvent, reverse-engineer or interfere with the security or integrity of the platform.
- Resell or sublicense access to the Service without our prior written consent.
- Use the Service in a manner that places excessive, unreasonable or disproportionate load on our infrastructure.
We reserve the right to suspend or terminate your account if you breach this section, without prejudice to any other remedy available to us.
8. Availability and no warranty of uninterrupted service
We will use commercially reasonable endeavours to keep the Service available. However, we do not warrant that the Service will be available at all times, without interruption or error. We may take the Service down for scheduled or emergency maintenance and will endeavour to give you reasonable advance notice of scheduled maintenance.
The Service is provided "as is" and "as available". We exclude all warranties and representations not expressly stated in these Terms to the fullest extent permitted by applicable law, including any implied warranty of satisfactory quality, fitness for a particular purpose or non-infringement.
9. Limitation of liability
To the fullest extent permitted by law:
- Our aggregate liability to you in any 12-month period in connection with the Service or these Terms shall not exceed the greater of (a) the total fees paid by you to Kethra in that same 12-month period, or (b) $500.
- We shall not be liable for any indirect, special, incidental, consequential or punitive loss or damage, including loss of profits, loss of revenue, loss of data, loss of goodwill or anticipated savings, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other matter that cannot lawfully be excluded or limited.
10. Term and termination
Duration
These Terms commence when you create an account or first use the Service and continue until terminated in accordance with this section.
Termination by you
You may close your account at any time via account settings or by writing to support@basisresearch.tech. If you are on a paid plan, access continues until the end of the current billing period, after which your subscription will not renew.
Weight export on termination of a paid plan
If you are on a paid plan and you close your account or your plan is terminated (other than for breach), we will make your tailored model weights available for download for a period of 30 days following termination. After that period, the weights will be deleted from our systems. You are responsible for downloading and preserving your weights before that period expires.
Termination by us
We may terminate or suspend your account immediately on written notice if you materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within 14 days of our notice, or if you become insolvent or enter into any form of insolvency procedure. We may terminate your account on 30 days' notice for any other reason.
Effect of termination
On termination, your right to use the Service ends. Sections 6 (Ownership), 9 (Limitation of liability), 11 (Governing law) and any other provisions that by their nature should survive will continue to apply.
11. Changes to these Terms
We may update these Terms at any time. For changes that are not material, we will update the "Last updated" date at the top of this page. For material changes, we will give you at least 30 days' notice by email and by a prominent notice in the platform before the new Terms take effect. If you do not agree to the revised Terms, you may close your account before the change takes effect.
12. Governing law and disputes
These Terms and any dispute or claim arising out of or in connection with them, or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of California, United States.
The courts located in San Francisco County, California shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. Nothing in this clause prevents either party from seeking urgent interim relief in any appropriate jurisdiction.
